Structural measures strengthen good governance at Quadpack
Independent board members and new committees increase diversity, transparency and accountability
Quadpack’s governance structure has been strengthened at the board level, with the appointment of its first independent members. In addition, three new committees were created, focusing on sustainability, audit and risk, and compensation and appointments.
The changes were ratified at the Annual General Meeting of Shareholders on July 13, 2021, at Quadpack’s headquarters in Barcelona. Together, the measures reinforce some of the key principles of good governance, including participation, transparency, equity and inclusion, effectiveness and efficiency, and accountability.
Institutional investor Chrysoula Zervoudakis and diversity champion Cheryl Hall join Quadpack’s board of directors as independent members. Zervoudakis brings extensive financial experience and a strong focus on strategic development.
Hall is a certified climate change coach and professional mentor of international entrepreneurs on the Royal Academy of Engineers scholarship platform, anchored in the United Nations 17 Sustainable Development Goals.
As Quadpack continues to shape its culture of goal-oriented oversight and governance, the appointments of Zervoudakis and Hall enrich the board’s diversity on many levels.

The three new committees were created to strengthen sustainable practices, ethical processes, accountability and transparency. The Sustainability Committee, chaired by Hall, integrates business and sustainability priorities to ensure that the company’s performance is built on a foundation of sustainability.
The Audit and Risk Committee, headed by Zervoudakis, oversees the integrity of the financial information system and internal controls. The Compensation and Nomination Committee, chaired by Quadpack’s Vice Chairman of the Board of Directors, Steven Lewis, advises the Board of Directors on appointment and compensation policies for directors and senior executives with strategic responsibilities.
